Terms of Service

Effective date: April 24, 2026

These Terms of Service (the “Terms”) are a binding agreement between you and DataBuilt, Inc. (“DataBuilt,” “we,” or “us”) that govern your access to and use of the DataBuilt platform, websites, mobile applications, APIs, and related services (collectively, the “Services”). By creating an account, clicking “I agree,” or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.

1. Definitions

  • “Customer” means the person or entity that has agreed to these Terms.
  • “Authorized User” means an individual authorized by Customer to access the Services under Customer’s account, including employees, contractors, and invited collaborators.
  • “Customer Content” means any data, files, imagery, point clouds, 3D scans, videos, documents, metadata, project information, and other material uploaded, captured, transmitted, or otherwise made available to the Services by or on behalf of Customer.
  • “Output” means content generated by the Services in response to Customer Content or Authorized User input, including reports, summaries, annotations, image comparisons, tile pyramids, thumbnails, and AI-generated suggestions.
  • “AI Features” means the Service capabilities that use machine-learning or generative models, including natural-language search over Customer Content, AI-assisted reporting, image comparison, and automated classification.
  • “Subscription” means a paid plan, trial, credit package, or other purchased entitlement to the Services.

2. Account Registration and Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate, complete, and current registration information and to keep it updated. You are responsible for all activity under your account, for safeguarding your credentials, and for promptly notifying us at support@databuilt.ai of any suspected unauthorized access.

DataBuilt may be invite-only during certain periods. We may decline to create, suspend, or terminate an account at our discretion, including where an account appears to be automated, fraudulent, or used to evade restrictions.

3. Invitations and Organizational Accounts

Customers can invite Authorized Users to projects and organizations. When you accept an invitation, you become an Authorized User of the inviting organization for the purposes set by that organization (for example, project collaborator, editor, or viewer). Authorized Users are subject to these Terms and to any additional access policies the inviting organization applies (such as role, permission, and sharing settings).

Owners and administrators of an organization account may view, modify, export, remove, or restrict any Customer Content or Authorized User activity within their organization. If you use the Services under an organization account, the organization administrator controls your account and access. Contact your administrator for account questions.

4. Subscriptions, Billing, and Credits

Paid Subscriptions are billed in advance on a recurring basis (for example, monthly or annually) and will automatically renew at the end of each billing period unless cancelled before the renewal date. Certain features are metered using credits or overage billing; usage beyond the included allotment may incur additional charges at the rates displayed in your account.

Payments are processed by our third-party payment processor, Stripe, Inc. You authorize us (and Stripe) to charge your designated payment method for all fees and taxes owed. Fees are non-refundable except where required by law. If a payment fails, we may suspend or downgrade the Services until the balance is resolved.

We may change prices for new billing periods on at least 30 days’ notice. Free trials, beta access, or early-access plans may be offered subject to additional terms and may end or change at any time. Taxes, surcharges, and exchange rate conversions may apply and are your responsibility.

5. Customer Content

Customer retains all right, title, and interest in and to Customer Content. You grant DataBuilt a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, modify (solely for formatting, optimization, tiling, compression, indexing, and delivery), and otherwise process Customer Content solely as necessary to provide, secure, maintain, and improve the Services and to comply with law. This license ends when the relevant Customer Content is deleted from the Services, subject to commercially reasonable retention in backups and logs.

You represent and warrant that you have all rights and consents necessary to upload Customer Content and to grant the license above, and that Customer Content does not infringe or violate any third-party right or applicable law. You are solely responsible for Customer Content.

6. Acceptable Use

You agree not to, and not to permit any third party to:

  • upload or transmit content that is unlawful, infringing, defamatory, harassing, obscene, or that violates any person’s privacy or export-control laws;
  • attempt to probe, scan, reverse engineer, decompile, or otherwise derive the source code or non-public interfaces of the Services, except to the extent expressly permitted by applicable law;
  • interfere with or disrupt the integrity or performance of the Services, circumvent rate limits, or use bots, scrapers, or automation to extract content except through a documented API with appropriate credentials;
  • use the Services to build, benchmark, or train a competing product, foundation model, or hosted AI service;
  • share credentials, resell access, or make the Services available to anyone who is not an Authorized User, except as expressly permitted by your plan.

7. AI Features

The Services include AI Features that process Customer Content and Authorized User input to produce Output. AI Features use our own models and the models of third-party providers, and we may change AI providers or models at any time. Current AI providers are included in the subprocessor list disclosed on request (see the Service-Provider Categories section of our Privacy Policy).

Outputs are probabilistic. AI Features may produce inaccurate, incomplete, biased, or offensive results. You are solely responsible for reviewing, validating, and determining the suitability of any Output for your purposes, and for not relying on Output where accuracy is essential without independent human review.

No use for high-risk decisions. You must not use AI Features as the sole basis for decisions that meaningfully affect human safety, legal rights, health, employment, credit, or similar consequential matters.

No training on Customer Content. DataBuilt does not use Customer Content to train its own general-purpose foundation models, and our agreements with third-party AI providers contractually prohibit those providers from using Customer Content to train their general-purpose models. We may use aggregated, de-identified signals (for example, feature usage counts) to improve the Services.

Output ownership. As between you and DataBuilt, and to the maximum extent permitted by applicable law, you own Output to the extent it incorporates Customer Content or was generated in response to your inputs, subject to the rights and restrictions in these Terms. Output is not guaranteed to be unique and similar outputs may be generated for other customers.

8. Intellectual Property

DataBuilt and its licensors own all right, title, and interest in and to the Services, including all software, designs, graphics, text, and other content (excluding Customer Content and Output). Subject to these Terms and timely payment of fees, we grant Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the Subscription term solely for Customer’s internal business purposes. All rights not expressly granted are reserved.

9. Third-Party Services and Subprocessors

The Services integrate with and are delivered through third-party providers (for example, cloud hosting, email delivery, payment processing, media processing, and AI model inference). The categories of service providers we engage are described in our Privacy Policy; a current list of specific subprocessors is available on request and, for enterprise customers, is included in our Data Processing Agreement. Your use of any third-party service through the Services is also subject to that service’s terms, and DataBuilt is not responsible for third-party services.

10. Security

We implement administrative, technical, and physical safeguards designed to protect Customer Content, including encryption in transit and at rest, role-based access controls, and audit logging. No system is perfectly secure; you are responsible for configuring permissions, invitations, and sharing appropriately and for using strong, unique passwords.

11. Feedback

If you provide suggestions, ideas, or other feedback about the Services (“Feedback”), you grant DataBuilt a perpetual, irrevocable, royalty-free, worldwide license to use and exploit the Feedback for any purpose without obligation to you.

12. Term, Termination, and Suspension

These Terms apply from the date you first accept them and continue until terminated. You may cancel your Subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access immediately if you violate these Terms, if your account shows indicators of fraud, abuse, or a security risk, if required by law, or if a Subscription expires or goes unpaid.

Upon termination, your right to access the Services ends. You may export Customer Content during the Subscription term and for a reasonable grace period using the export tools available in the Services, after which Customer Content may be deleted. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnity) will survive.

13. Disclaimer of Warranties

The Services and all Output are provided “as is” and “as available.” To the maximum extent permitted by law, DataBuilt disclaims all warranties, whether express, implied, or statutory, including any warranty of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. DataBuilt does not warrant that the Services will be uninterrupted, error-free, or secure, or that any Output will be accurate or reliable.

14. Limitation of Liability

To the maximum extent permitted by law, DataBuilt and its affiliates, officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages. DataBuilt’s aggregate liability for all claims relating to these Terms or the Services will not exceed the greater of (a) the fees paid by Customer to DataBuilt in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

15. Indemnification

You will defend, indemnify, and hold harmless DataBuilt, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your Customer Content, (b) your use of the Services in violation of these Terms or applicable law, or (c) your violation of any third-party right, including any intellectual property or privacy right.

16. Modifications to the Services and Terms

We may modify, suspend, or discontinue features of the Services at any time. We may also update these Terms from time to time; when we make material changes we will provide notice, for example by email or in-product notice. The updated Terms take effect on the date indicated. Your continued use of the Services after the effective date constitutes acceptance.

17. Governing Law and Venue

These Terms are governed by the laws of the State of California, excluding its conflict-of-law rules. The exclusive venue for any dispute arising out of or relating to these Terms will be the state or federal courts located in San Francisco County, California, and each party consents to personal jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply.

18. Miscellaneous

These Terms, together with any order form, product documentation, and the Privacy Policy, constitute the entire agreement between the parties regarding the Services and supersede any prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. Notices to DataBuilt must be sent to support@databuilt.ai. Neither party is liable for failure to perform due to a force majeure event beyond its reasonable control.
